Does this improve the quality?

No. The conversion avoids further quality loss but does not restore detail lost in the JPG.

Does the new PNG have a transparent background?

No. A format conversion does not remove the background. An opaque JPG becomes an opaque PNG.

Why is the PNG larger?

PNG stores pixels losslessly. For photos a PNG file is therefore often larger than the original JPG.
